Terms governing the use of our website and services

By accessing or using the website of Beijing Huinengda Intelligence Technology Co., Ltd. ("Huinengda Tech," "we," "our," or "us") at www.huinengda.shop (the "Site"), and by engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, please do not use our Site or services.
These Terms constitute a legally binding agreement between you ("Client," "User," or "you") and Huinengda Tech. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use after modifications indicates your acceptance of the updated Terms.
Huinengda Tech provides professional services in computer systems design and related services within the Professional, Scientific, and Technical Services sector, including:
Specific scope, deliverables, and fees will be defined in a separate Statement of Work ("SOW").
You agree to use our Site only for lawful purposes. Prohibited conduct includes violating laws, transmitting spam, unauthorized access attempts, uploading malware, interfering with site performance, harvesting personal data, or using automated tools without permission.
All content on our Site and deliverables is the intellectual property of Huinengda Tech or its licensors. You may not reproduce or distribute any content without our written consent. Upon full payment, we grant a non-exclusive license to use deliverables created for you.
You agree to provide accurate information, cooperate with our team, review deliverables timely, make payments on schedule, maintain confidentiality, and obtain necessary permissions for materials you provide.
Fees are as set forth in each SOW. Invoices are due within 30 days. Late payments may incur 1.5% monthly interest. Fees exclude taxes, which are your responsibility. We may suspend services for past-due accounts.
Both parties agree to maintain the confidentiality of non-public information. Confidential Information shall not be disclosed without written consent, except as required by law. This obligation survives termination for 5 years (indefinitely for trade secrets).
To the maximum extent permitted by law, Huinengda Tech shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed fees paid for the specific service during the 12 months preceding the claim.
You agree to indemnify Huinengda Tech against claims arising from your violation of these Terms, violation of law, infringement of third-party rights, or disputes with other users.
Either party may terminate upon written notice of a material breach that remains uncured for 30 days. We may also terminate immediately for violation of these Terms.
We warrant services will be performed professionally. Your sole remedy is re-performance or refund. Otherwise, services are provided "AS IS" without warranties of any kind.
Neither party is liable for delays caused by circumstances beyond reasonable control, including natural disasters, war, terrorism, government actions, pandemics, or internet outages.
These Terms are governed by the laws of the People's Republic of China. Disputes shall first be resolved through negotiation, then mediation in Beijing, and finally arbitration administered by the Beijing Arbitration Commission.
These Terms, together with any SOW, constitute the entire agreement and supersede prior communications. In case of conflict, the SOW prevails for that engagement.
If any provision is found unenforceable, the remaining provisions shall continue in full force.
